Partner agreement

1. The program

This agreement is between you and Belbotika. You recommend Belbotika to businesses, and we pay you commission on what they pay us, on the terms below. You are an independent party: you are not our employee, agent or representative and cannot speak or sign for us.

2. Commission

• We pay 30% of the net amount we actually receive for an eligible subscription payment. That means not counting tax, and after any discount or credit applied to that payment. Refunded and disputed amounts are not counted.
• Commission is earned on payments made within 12 months of that customer's first payment.
• If a customer changes plan, commission follows the payment actually made on the new plan from then on, higher or lower.
• A plan paid in advance, such as a year, earns commission once, on the amount paid, when we receive that payment and subject to the waiting period in section 4. Later payments count only if they are made within the 12 months above.
• Free sign-ups, trials, complimentary accounts and one-time purchases do not earn commission.
• You cannot earn commission on your own account, your own business, or anyone who works in your workspaces. We may refuse or reverse commission we reasonably believe came from self-referral or other misuse.
• We may offer a different rate to a particular partner, in writing.

3. Who gets credit

• By link. If someone opens a partner's referral link and signs up within 30 days, they are credited to the partner whose link they opened most recently before signing up.
• By code. A customer who signed up without a link can enter a partner's referral code before their first payment. If a link already credited them, the code changes nothing.
• Locked. Once a customer is credited, no later link or code changes it.
• Corrections. We may correct an attribution mistake, or remove one obtained through misuse. Every manual change is recorded with the reason for it.

4. Refunds, chargebacks and clawback

Commission becomes payable 35 days after the customer's payment. If a payment is refunded, in full or in part, or lost in a dispute, we reverse the matching commission. If that happens after we have paid you, the amount is taken from your next payout. If you leave with a balance owed, we will not pursue it.

5. Payouts and taxes

• You can request a payout once your available balance reaches CAD 50, or the minimum we agree with you.
• We pay by the method you choose in Settings. We may use a third-party payment provider to send money; any payment information that provider needs is handled under its own terms and privacy policy. We don't ask for a bank account number in the portal today.
• If you change your payout details, payouts pause for 7 days to protect you from a hijacked account.
• You must give your legal name before the first payout. You are responsible for your own taxes. We may ask for tax information and may withhold where the law requires.

6. How you may promote

You must be honest, and you must tell people you earn a commission when you recommend Belbotika. You must follow all email, text-message, telemarketing, privacy and anti-spam laws that apply, including the Canadian and U.S. rules. You may not:

• say or suggest you are Belbotika, or that you speak for it;
• promise results, sales or followers;
• say that Google, Meta or any other company endorses, sponsors or partners with Belbotika;
• send email, text messages or other direct messages to anyone who has not agreed to receive them;
• publish fake reviews, fake discounts or misleading pages;
• run paid advertising that uses Belbotika's name, trademarks or product names, or bid on "Belbotika" or close variations as a keyword, without our written permission;
• place cookies or links on a visitor's device without a real click, or use hidden frames or forced redirects.

7. Where you may promote

You may promote Belbotika in countries where Belbotika offers the relevant services, as long as it is lawful there and consistent with this agreement. We may restrict a country in writing if we can't serve it or the law requires.

8. Brand and trademarks

You may use Belbotika's name and the approved materials we give you only to promote Belbotika under this agreement. Use the logo we provide, unaltered. Don't register a domain name, social-media account, advertising account or business name that could reasonably be confused with Belbotika. Belbotika's name, logo and materials stay ours.

9. Privacy

When someone follows your link we store a small first-party cookie on their browser so the sign-up can be credited to you, and we record the click. With the click we keep a one-way hashed form of the visitor's IP address and the type of browser, to spot misuse. After 90 days we remove those two details; the record that a click happened is kept. We never show you a customer's name or contact details. See our privacy policy.

10. Suspension and ending

We may pause or end your account if you break this agreement or we reasonably suspect misuse. While paused, new sign-ups are not credited to you. You may stop at any time. When the account ends, commission you have already earned legitimately and that has not been reversed is paid in the normal way. Commission that came from a breach of this agreement is forfeited.

11. Changes

We may change this agreement and the commission terms. We will tell you before a change takes effect and ask you to accept the new version. Until you do, you can keep earning but cannot request a payout. A change does not reduce commission already earned.

12. No guarantees

We don't guarantee that the program, referral links, tracking or Belbotika's services will always be available, or that you will earn any amount.

13. Limit of liability

To the fullest extent the law allows, Belbotika is not liable to you for indirect or consequential loss, lost profits or business interruption arising from this program. Our total liability to you for anything arising from this agreement is limited to the commission we owe you under it. Nothing here limits a liability that the law does not allow to be limited.

14. General

We may end the program at any time. Nothing here makes you an employee, agent, partner in law, or joint venturer. This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
